Terms of Service
The agreement between you and WCAGHub for use of the Web, PDF and Document Accessibility Checkers and the wcaghub.com dashboard. Twenty operative clauses, governed by Australian law with a carve-out for EU/UK consumers.
1. Agreement and parties
These Terms of Service (“Terms”) form a binding agreement between:
- WCAGHub Pty Ltd [registered trading name — placeholder], ABN [ABN — placeholder], of [registered address — placeholder], Australia (“WCAGHub”, “we”, “us”, “our”); and
- the individual or legal entity that creates an account, pays a subscription fee, or otherwise uses the Service (“Customer”, “you”, “your”).
By creating an account, clicking “I agree”, or using the Service in any way, you represent that you have read, understood and accepted these Terms. If you do not agree, you must not use the Service.
These Terms incorporate by reference: the Privacy Policy, the Cookie Policy, the Refund Policy, and (for business customers) the Data Processing Agreement.
WCAGHub runs three accessibility-scanning tools (Web, PDF, Document). You pay a monthly or yearly subscription. We give you scan credits. We process your data carefully, respect your rights, and guarantee a 14-day refund. Below is the legal version.
2. Definitions
- “Account”
- the dashboard account you create to use the Service, secured by email and password.
- “Customer Content”
- any URL, HTML snippet, PDF, Office document or other material you submit to the Service for scanning, together with any result data produced from it.
- “DPA”
- the WCAGHub Data Processing Agreement available at /legal/dpa/, incorporated into these Terms by reference.
- “Fees”
- the subscription fees and any usage-based charges for the plan you select on the Pricing page.
- “Service”
- the WCAGHub Web Accessibility Checker, PDF Accessibility Checker, Document Accessibility Checker, the
wcaghub.comdashboard, any related APIs and browser extensions, and associated documentation. - “Scan Credit”
- the unit of consumption for the Service, charged per scan or per document depending on the plan (see the Pricing page for current allocations).
- “Intellectual Property Rights”
- all copyright, patents, trade marks, database rights, designs, know-how and all other intellectual property rights whether registered or unregistered.
- “ACL”
- the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
3. Eligibility and account registration
- Minimum age. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an Account. The Service is not intended for children under that age.
- Authority. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
- Accuracy. You will provide accurate account information and keep it up to date.
- Account security. You are responsible for maintaining the confidentiality of your password and for any activity that occurs under your Account. Notify us immediately at info@wcaghub.com of any suspected unauthorised use.
- One Account per user. Except for team / enterprise plans that explicitly provide for multiple seats, Accounts are for a single user. You may not share credentials.
4. The Service
- Description. The Service provides automated accessibility scanning for websites, PDF files and Microsoft Office / OpenDocument files, together with remediation suggestions (including optional AI-assisted suggestions). Feature descriptions on the website at /tools/ are indicative; the operative feature set is the one live in the dashboard.
- Evolution. We continuously improve the Service. We may add, change, deprecate or remove features, provided no such change materially diminishes the core Service the Customer paid for during a pre-paid subscription term. For material reductions that would affect a pre-paid term, we will give at least 30 days’ notice and offer a pro-rated refund.
- Beta features. Features marked “Beta”, “Preview”, “Experimental” or similar are provided on an “as-is” basis, are not covered by any service-level commitment, and may be changed or withdrawn at any time.
- Scope of scanning. WCAGHub performs automated checks against a configurable subset of WCAG 2.2 success criteria and selected non-WCAG best practices. Automated testing cannot detect all accessibility issues; you remain responsible for a complete accessibility assessment, which typically requires manual expert review in addition to automated scanning.
- Reliability target. We target 99.5% monthly availability. Availability is calculated over a 30-day rolling window excluding scheduled maintenance announced at least 48 hours in advance. This target is a good-faith commitment, not a contractual SLA unless separately agreed in a signed enterprise order.
5. Subscription plans, fees and renewals
- Plans. Current plans, pricing and included Scan Credits are published on the Pricing page and the page at the moment of checkout controls.
- Billing. All payments are processed by Stripe. Subscriptions are billed in advance for each Term. You authorise us to charge the payment method on file for the Fees at each renewal.
- Auto-renewal. Subscriptions renew automatically at the end of each Term for a further Term of the same length, at the then-current list price, unless cancelled before the renewal date. You can cancel at any time from the dashboard; cancellation takes effect at the end of the current Term.
- Price changes. We may change list prices; a price change will not affect your current pre-paid Term. We will give at least 30 days’ notice before a price change takes effect on renewal.
- Taxes. Fees are exclusive of taxes unless expressly stated. You are responsible for any sales, value-added, withholding or similar taxes that apply in your jurisdiction. Australian GST will be applied to customers with an Australian billing address where required.
- Credits and overage. Scan Credits included in a plan do not roll over unless expressly stated. Usage beyond the plan allocation will trigger overage charges at the rate disclosed in the dashboard, billed in the following invoice.
- Failure to pay. If a payment fails, we will retry the charge and notify you. If the failure is not resolved within 14 days, we may suspend or terminate your Account.
6. Free trial and refunds
We operate a 14-day money-back guarantee on first-time paid subscriptions, as well as a free tier and, where offered, a time-limited free trial. Conditions and the procedure to request a refund are set out in full in our Refund Policy, which is incorporated into these Terms by reference.
If you are a consumer in the European Union or the United Kingdom, your statutory right of withdrawal (14-day right) under the EU Consumer Rights Directive or the UK Consumer Contracts Regulations may apply — the Refund Policy explains how it interacts with our voluntary guarantee.
7. Acceptable use
You agree not to do any of the following:
- submit Customer Content that you do not have a right to submit, or that infringes a third party’s rights;
- use the Service to scan a website or content you are not authorised to scan, where such authorisation is legally required;
- use the Service to attempt to access, damage, probe or overload any system that is not the Customer Content you have a right to scan;
- scrape, mirror or replicate the Service or its output for the purpose of building a competing automated accessibility tool;
- reverse-engineer, decompile or disassemble the Service except to the extent expressly permitted by applicable law that cannot be excluded by agreement;
- circumvent any rate limit, plan allocation, technical restriction or authentication mechanism;
- upload malware, worms, trojans or any other malicious code;
- use the Service to process Special Category Personal Data without an appropriate lawful basis, or to process data that exceeds the “reasonable website content” envelope (e.g. bulk personal-data dumps);
- impersonate another person or entity, or misrepresent your affiliation;
- use the Service in breach of applicable sanctions or export-control laws.
Suspected breaches may result in suspension of your Account pending investigation. Confirmed breaches may result in termination without refund, and we may notify competent authorities where required by law.
8. Customer content and your responsibility
- Your ownership. You retain all rights in and to Customer Content. Nothing in these Terms transfers ownership of Customer Content to WCAGHub.
- Licence to us. You grant WCAGHub a worldwide, royalty-free, non-exclusive, non-transferable licence to host, copy, transmit, process and display Customer Content solely as necessary to provide the Service to you. This licence terminates when the relevant Customer Content is deleted from the Service (typically within 24 hours for uploaded files; when you delete a scan record for Web Checker artefacts).
- Your representations. You represent that you have all rights, consents and authority required to submit Customer Content to the Service and to have WCAGHub process it on your instructions.
- Responsibility. You are solely responsible for the legality and appropriateness of the Customer Content you submit, and for any consequence that flows from it being scanned by an automated accessibility tool.
- Backups. WCAGHub is not a storage service. You should retain independent copies of any Customer Content of continuing value.
9. Intellectual property
- Our rights. All Intellectual Property Rights in the Service — including the scanning engines, detectors, dashboard, reports, the WCAGHub name, logo and trade dress — are owned by WCAGHub or its licensors. These Terms do not transfer any of those rights to you. You receive only a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms during the term of your subscription.
- Reports. The scan reports generated for you can be freely used within your organisation and shared with your customers, auditors and developers in the ordinary course of accessibility remediation work. You may not resell reports as a stand-alone product.
- Feedback. If you submit suggestions, ideas or feedback about the Service, you grant WCAGHub a perpetual, irrevocable, royalty-free licence to use that feedback without restriction and without obligation to you. You will not be considered a co-author of any WCAGHub product as a result of providing feedback.
- AI-generated suggestions. Outputs of the AI Fix engine are suggestions for you to review. WCAGHub does not warrant that AI-generated suggestions are free of third-party claims; you are responsible for reviewing them before use.
10. Third-party services and sub-processors
To deliver the Service we rely on the sub-processors listed in DPA Schedule 2 (DigitalOcean, cPanel hosting, ChemiCloud, Stripe, Anthropic and our transactional email provider). Their own terms and policies govern how they provide infrastructure / services to us; they do not create a direct contract between you and those providers in respect of the Service.
Stripe processes your payment details directly; its own terms and privacy policy apply to that payment relationship.
11. Privacy and data protection
Our handling of personal data is governed by the Privacy Policy. Where we process personal data on your behalf as a processor — typically for business customers — the Data Processing Agreement also applies and prevails in the event of any conflict with these Terms in respect of processing of personal data.
12. Accessibility of the Service itself
We “eat our own dog food”: the Service is designed to meet WCAG 2.2 Level AA and, in several places, AAA. Our current conformance status, known gaps and how to report an accessibility issue are in the Accessibility Statement. If the Service is inaccessible to you, we will provide an accessible alternative on request (e.g. email-delivered scan reports).
13. Warranties and disclaimers
- We warrant that the Service will be provided with reasonable care and skill.
- Automated testing limitation. You acknowledge that automated accessibility scanning can identify only a subset of accessibility issues. WCAGHub does not warrant that a pass in the Service equates to legal compliance with WCAG, the Americans with Disabilities Act, the European Accessibility Act, the Australian Disability Discrimination Act or any other accessibility law. Full compliance typically requires human review and user testing with assistive technologies.
- No content warranty. We do not warrant that Customer Content scan results will be error-free, complete or fit for a particular purpose.
- Except as expressly stated in these Terms, the Service is provided “as is” and all other warranties — express or implied — are disclaimed to the maximum extent permitted by law. This clause does not limit the consumer guarantees referenced in clause 16.
14. Limitation of liability
It limits the remedies available to you.
- Cap. To the maximum extent permitted by applicable law, WCAGHub’s total aggregate liability to you for all claims arising out of or in connection with the Service or these Terms is limited to the Fees actually paid by you to WCAGHub in the twelve (12) months preceding the event giving rise to the claim.
- Excluded losses. Neither Party is liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, revenue, data or business opportunity, even if advised of the possibility of such damages.
- Non-excludable liability. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including:
- liability for death or personal injury caused by negligence;
- liability for fraud or fraudulent misrepresentation;
- in Australia, consumer guarantees that cannot be excluded, restricted or modified under the ACL;
- in the EU/UK, any mandatory statutory consumer rights that cannot lawfully be excluded or limited.
- Apportionment. If liability cannot be fully excluded under the law governing a specific claim, the cap in 14(a) applies only to the extent permitted. Where that cap is invalid against a consumer, the next-lowest permissible cap in that jurisdiction applies.
15. Indemnification
You agree to indemnify and hold WCAGHub harmless from any third-party claim, loss or expense (including reasonable legal fees) arising out of: (a) Customer Content that infringes a third party’s Intellectual Property Rights or privacy rights; (b) your breach of clause 7 (Acceptable use); (c) your breach of any applicable law in connection with use of the Service.
We will notify you promptly of any such claim, tender control of its defence to you (subject to our right to participate at our own cost), and co-operate reasonably with you. You must not settle any claim in a way that imposes obligations on WCAGHub without our prior written consent.
Where you act as a consumer under mandatory consumer protection law, this clause applies only to the extent permitted by that law.
16. Consumer rights
16.1 Australia
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted or modified by agreement. To the extent permitted, our liability for breach of such a guarantee is limited at our option to: (a) resupply of the Service; or (b) payment of the cost of resupply of the Service.
16.2 European Union / United Kingdom / Switzerland
If you are a consumer in the EU, the UK or Switzerland, you have the statutory consumer rights granted by your local law, including the 14-day right of withdrawal under the EU Consumer Rights Directive (2011/83/EU) or the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms removes or reduces those rights. See the Refund Policy for how to exercise them.
16.3 Other jurisdictions
Where you live in another jurisdiction with mandatory consumer protection laws, those laws apply to the extent they cannot be excluded by agreement. These Terms should be interpreted so that they are enforceable together with those laws.
17. Termination
- By you. You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current Term; you retain access until then.
- For refund. Refund entitlements are in the Refund Policy.
- By us for cause. We may suspend or terminate your Account immediately if you materially breach these Terms (including clauses 5 and 7) and fail to remedy the breach within 14 days of written notice (or without notice if the breach is incapable of remedy or if suspension is necessary to protect the Service or other customers).
- By us for convenience. We may terminate these Terms for convenience by giving you at least 60 days’ written notice. If we do, we will refund any pre-paid Fees for the unused portion of your Term.
- Effects of termination. On termination: (i) your right to access the Service ends; (ii) we will delete or return Customer Content as set out in the DPA, subject to any statutory retention obligations; (iii) any clause which by its nature should survive termination (including clauses 9, 13, 14, 15, 18 and 20) will do so.
18. Dispute resolution and governing law
- Informal resolution first. Before starting formal proceedings, you agree to contact us at info@wcaghub.com and give us 30 days to resolve the dispute informally.
- Governing law — default. These Terms are governed by the laws of New South Wales, Australia, and the Parties submit to the exclusive jurisdiction of the courts of New South Wales, Australia.
- Carve-out for consumers outside Australia. If you are a consumer resident in the European Union, the United Kingdom, Switzerland, Brazil, Canada or any other jurisdiction whose consumer-protection rules give you the right to bring proceedings in your country of habitual residence, that right is preserved. You may bring proceedings against WCAGHub in your local courts, and mandatory consumer-protection rules of your country apply in addition to, and prevail over, anything in these Terms to the extent required by your local law.
- ODR (EU). EU consumers have access to the European Commission’s online dispute-resolution platform at ec.europa.eu/consumers/odr/.
- No class actions. To the extent permitted by law, claims against WCAGHub must be brought in an individual capacity and not as a class or representative action.
19. Changes to these Terms
We may update these Terms from time to time. For material changes (for example to Fees, termination rights, liability or your data-protection rights), we will give at least 30 days’ notice by email to the Account holder before the updated Terms take effect. For non-material changes (typo corrections, clarifications, updates to sub-processor names), we will update the effective date at the top of this page in place.
If you do not accept a material change, your sole remedy is to cancel your subscription before the effective date of the change; your pre-paid Term will not be affected until renewal.
20. General
- Notices to you. We will send notices to the email address on file for your Account. It is your responsibility to keep that address current. Notices are deemed received 24 hours after sending unless we receive a bounce.
- Notices to us. All legal notices to WCAGHub must be sent to info@wcaghub.com with a copy to the registered address in clause 1.
- Entire agreement. These Terms, together with the documents they incorporate by reference, constitute the entire agreement between you and WCAGHub in relation to the Service, and supersede any prior agreements or understandings. This does not limit liability for fraud or fraudulent misrepresentation.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition or sale of substantially all our assets, on notice to you.
- Force majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control (acts of God, war, pandemic, major ISP outage). The affected Party will take reasonable steps to mitigate the impact.
- Severability. If any provision is held unenforceable, the remaining provisions continue in full force, and the unenforceable provision is to be interpreted as narrowly as necessary to make it enforceable.
- Waiver. No waiver of any provision is effective unless in writing and signed by the waiving Party, and does not operate as a waiver of any other breach.
- Third-party beneficiaries. These Terms do not confer rights on any third party, except that WCAGHub’s affiliates may enforce clauses 9, 13 and 14 directly.
- Language. The authoritative version of these Terms is the English version.
